Background

A. By submitting an order request and accepting a Service Quote by paying the applicable amount to BorderlesShopping, you (the Customer) enter into an agreement on the terms of this document and the applicable Engagement Confirmation.

B. Pursuant to that agreement, BorderlesShopping agrees to provide Services to the Customer in consideration for the payment of the Service Fee.

1. Definitions & Interpretation

1.1. Defined terms

In this agreement:

Amendment Notice has the meaning given in clause 4.2(a).

BorderlesShopping means BorderlesShopping, a service provider facilitating purchases from Australian stores and shipping to Bangladesh.

Business Day means a day on which the banks are open for business in Bangladesh excluding a Saturday, Sunday or a public holiday.

Cancellation Notice has the meaning given in clause 4.1(a).

Charges means those amounts specified for payment in a Service Quote, other than amounts referable to the Service Fee, including, for the avoidance of doubt, amounts for the purchase of the Good.

Claim means any claim, notice, demand, action, proceeding, litigation, investigation or judgment whether based in contract, tort, statute or otherwise.

Confirmation Notice has the meaning given in clause 3(b).

Consequential Loss means any loss of use, loss of goodwill, loss of production, loss of profit or revenue, loss of business opportunity or reputation, loss of data, loss of contract or anticipated saving, any financing costs or increase in operating costs, loss or damage due to business interruption or any other economic, special, indirect or consequential loss, punitive or exemplary damage, howsoever incurred in relation to this agreement (including through negligence) and regardless of whether the loss or damage was reasonably foreseeable.

Customer means a customer that engages BorderlesShopping to provide Services under this agreement.

Engagement Confirmation means a confirmation by the Customer of engagement of BorderlesShopping in respect of specific Services as evidenced by both:

  • a Service Quote; and
  • payment by the Customer of the Service Fee and Charges applicable to the Services for which the Customer engages BorderlesShopping as set out in the Service Quote,

and constituting an acceptance by the Customer of the offer constituted by the Service Quote. For the avoidance of doubt, the Customer may engage BorderlesShopping in respect of some and not all of the Services set out in a Service Quote by paying only that portion of the Service Fee and Charges that is referable to those Services.

Force Majeure means an act of god, lock out or other interference with work, war declared or undeclared, blockage, disturbance, lightning, fire, drought, earthquake, storm, flood, explosion, government or quasi-government restraint, exploration, prohibition, intervention, direction, embargo, unavailability or delay in availability of equipment or transport, inability or delay in obtaining governmental or quasi-governmental approvals, consents, permits, licenses, authorities or allocations, strike or other industrial action or any other cause whether of the kind specifically set out above or otherwise which is not reasonably within the control of the person relying on the force majeure.

Good means the good or goods that is, as set out in the Service Quote, in the case of a Purchasing Service, to be purchased by BorderlesShopping on behalf of the Customer or, in the case of a Return Service, is to be returned or sent for repair by BorderlesShopping on behalf of the Customer.

Governmental Agency means any governmental, administrative, fiscal or judicial body, department, commission, authority, tribunal, agency or entity in any part of the world.

Law includes any law, regulation, ordinance, authorisation, ruling, judgement and any other order or decree of any Governmental Agency in any jurisdiction.

Liabilities includes liabilities (whether actual, contingent or prospective), losses, damages, actions, costs, expenses, charges, fees (including legal costs on a full indemnity basis) and outgoings of whatever description.

New Service Quote has the meaning given in clause 4.2(b)(ii)(B).

Non-Completion Notice has the meaning given in clause 5.1.

Personnel means the directors, officers, employees, contractors and agents of BorderlesShopping from time to time.

Purchasing Service means the service under which BorderlesShopping:

  • purchases the Good on behalf of the Customer from an Australian store; and
  • arranges for delivery of the Good to the address notified by the Customer to BorderlesShopping in Bangladesh.

Rejection Notice has the meaning given in clause 4.3(a).

Return Service means the service under which BorderlesShopping attends to the return or repair of the Good on behalf of the Customer.

Service Fee means the fee payable in respect of the Services, as set out in the Service Quote. For the avoidance of doubt, the fee in respect of a Purchasing Service will be a fee payable for the performance of shipping and handling services.

Service Quote means a written quotation given by BorderlesShopping to the Customer which:

  • sets out proposed Services and the Service Fee and Charges applicable to those Services; and
  • constitutes an offer by BorderlesShopping to provide each of the Services specified for the applicable Service Fee and Charges.

Services means the services to be provided by BorderlesShopping to the Customer in accordance with the terms of this agreement, being:

  • either the Purchasing Service or the Return Service; and
  • those services set out in the Service Quote in respect of which the applicable Service Fee and Charges have been paid by the Customer to BorderlesShopping.

Store Invoice means an invoice issued by an Australian store or merchant to BorderlesShopping or one or more of its affiliates in respect of a Good purchased under a Purchasing Service.

1.2. Interpretation

In this agreement, unless the context otherwise requires:

  • the singular includes the plural and vice versa, and a gender includes other genders;
  • another grammatical form of a defined word or expression has a corresponding meaning;
  • a reference to this agreement includes a reference to, as applicable, this document and/or the applicable items evidencing the relevant Engagement Confirmation;
  • a reference to the terms of an Engagement Confirmation is a reference to the terms contained in one or more of the items evidencing the Engagement Confirmation including, for the avoidance of doubt, the Service Quote;
  • a reference to an Engagement Confirmation is a reference to the specific Engagement Confirmation that, together with this document, comprises the entire agreement in respect of the subject matter of that Engagement Confirmation, being the provision of Services;
  • a reference to a clause, paragraph, schedule or annexure is to a clause or paragraph of, or schedule or annexure to, this agreement, and a reference to this agreement includes any schedules and annexures;
  • a reference to a document or instrument includes the document or instrument as novated, altered, supplemented or replaced from time to time;
  • a reference to BDT, Taka or ৳ is a reference to Bangladeshi Taka;
  • a reference to time is to Bangladesh Standard Time (BST);
  • a reference to a party to this agreement, and a reference to a party to a document includes the party's executors, administrators, successors and permitted assigns and substitutes;
  • a reference to a person includes a natural person, partnership, body corporate, association, governmental or local authority or agency or other entity;
  • a reference to a statute, ordinance, code or other law includes regulations and other instruments under it and consolidations, amendments, re-enactments or replacements of any of them;
  • the meaning of general words is not limited by specific examples introduced by including, for example or similar expressions;
  • a rule of construction does not apply to the disadvantage of a party because the party was responsible for the preparation of this agreement or any part of it; and
  • if a day on or by which an obligation must be performed or an event must occur is not a Business Day, the obligation must be performed or the event must occur on or by the next Business Day.

2. Engagement

2.1. Service Quote

Where BorderlesShopping provides a Service Quote to the Customer, the Service Quote will:

  • specify the Services to be provided;
  • specify the Service Fee and Charges payable in respect of those Services;
  • remain valid for a period of 7 days from the date it is provided to the Customer (unless otherwise specified in the Service Quote); and
  • constitute an offer by BorderlesShopping to provide the Services specified in the Service Quote for the Service Fee and Charges specified in it.

2.2. Acceptance

The Customer may accept a Service Quote by paying the Service Fee and Charges specified in the Service Quote. Payment of the Service Fee and Charges constitutes acceptance of the Service Quote and creates an Engagement Confirmation.

2.3. Engagement Confirmation

Following receipt of payment of the Service Fee and Charges, BorderlesShopping will provide a Confirmation Notice to the Customer confirming the Engagement Confirmation. The Confirmation Notice will include order tracking information and estimated delivery timelines.

3. Services

3.1. Purchasing Service

Where the Customer engages BorderlesShopping to provide a Purchasing Service, BorderlesShopping will:

  • purchase the Good from the Australian store specified in the Service Quote;
  • arrange for the Good to be delivered to the address in Bangladesh specified by the Customer;
  • provide tracking information and updates regarding the status of the Good;
  • handle customs clearance procedures on behalf of the Customer (where applicable); and
  • notify the Customer upon delivery of the Good.

3.2. Return Service

Where the Customer engages BorderlesShopping to provide a Return Service, BorderlesShopping will arrange for the return or repair of the Good in accordance with the Australian store's return policy and the Customer's instructions.

3.3. Delivery

BorderlesShopping will use reasonable efforts to deliver the Good to the Customer within the estimated delivery timeframes provided in the Service Quote. However, delivery times are estimates only and BorderlesShopping does not guarantee delivery by a specific date.

3.4. Customs and Duties

The Customer is responsible for all customs duties, taxes, and fees imposed by the Government of Bangladesh or any other authority in respect of the Good. BorderlesShopping will provide estimates of such costs where possible, but the Customer acknowledges that actual costs may vary.

4. Cancellation and Amendment

4.1. Cancellation by Customer

(a) The Customer may cancel an Engagement Confirmation by providing a Cancellation Notice to BorderlesShopping at any time before BorderlesShopping places the order with the Australian store.

(b) If the Customer provides a Cancellation Notice before BorderlesShopping has placed the order:

  • BorderlesShopping will refund the full amount paid by the Customer (including the Service Fee and Charges), less any bank transfer or payment processing fees incurred by BorderlesShopping;
  • the refund will be processed within 10 Business Days of receipt of the Cancellation Notice.

(c) If the Customer provides a Cancellation Notice after BorderlesShopping has placed the order with the Australian store, the Customer will be subject to the store's cancellation and return policies, and BorderlesShopping will not be liable for any costs, fees, or charges incurred as a result of the cancellation.

4.2. Amendment by Customer

(a) The Customer may request an amendment to an Engagement Confirmation by providing an Amendment Notice to BorderlesShopping.

(b) BorderlesShopping will:

  • consider the amendment request and notify the Customer whether the amendment can be accommodated;
  • if the amendment can be accommodated, provide a New Service Quote reflecting the amended Services and any changes to the Service Fee and Charges; and
  • the Customer may accept the New Service Quote by paying any additional Service Fee and Charges (or receive a refund if the amendment reduces the total amount payable).

4.3. Rejection by BorderlesShopping

(a) BorderlesShopping may reject a Service Quote by providing a Rejection Notice to the Customer at any time before an Engagement Confirmation is created.

(b) If BorderlesShopping provides a Rejection Notice, it will refund any amounts already paid by the Customer in respect of that Service Quote within 10 Business Days.

5. Payment

5.1. Payment Terms

The Customer must pay the Service Fee and Charges in full before BorderlesShopping will commence providing the Services. Payment must be made using one of the payment methods specified by BorderlesShopping.

5.2. Currency

All Service Quotes and payments will be in Bangladeshi Taka (BDT) unless otherwise specified. Where prices are quoted in Australian Dollars (AUD) or other currencies, the Customer acknowledges that the final amount in BDT may vary based on exchange rates at the time of payment.

5.3. Payment Processing

BorderlesShopping accepts payment by:

  • electronic funds transfer (bank transfer);
  • mobile banking (bKash, Nagad, Rocket);
  • credit or debit card (where available); and
  • other payment methods as may be specified by BorderlesShopping from time to time.

5.4. Failed Payment

If payment fails or is declined, the Customer's order will not be processed until payment is successfully received. BorderlesShopping will notify the Customer of any payment issues and provide instructions for resolving them.

6. Risk and Title

6.1. Risk

Risk in the Good passes to the Customer when the Good is delivered to the delivery address specified by the Customer or collected by the Customer or the Customer's nominated representative.

6.2. Title

Title in the Good passes to the Customer when BorderlesShopping receives full payment of the Service Fee and Charges and purchases the Good from the Australian store.

6.3. Loss or Damage in Transit

If the Good is lost or damaged in transit after it has been dispatched by BorderlesShopping:

  • BorderlesShopping will assist the Customer in making a claim against the shipping carrier's insurance;
  • BorderlesShopping is not liable for loss or damage caused by the shipping carrier, customs authorities, or other third parties;
  • the Customer's rights in respect of lost or damaged goods are limited to those available under the shipping carrier's terms and conditions and applicable insurance policies.

7. Warranties and Liability

7.1. No Warranties

BorderlesShopping:

  • acts as the Customer's agent for the purchase of the Good from the Australian store;
  • makes no representation, warranty or guarantee in relation to the Good including in respect of its quality, condition, fitness for purpose, or compliance with any description;
  • is not liable for any defects, faults, or issues with the Good, which are the responsibility of the manufacturer or the Australian store;
  • all risk of loss in respect of a Good passes to the Customer following delivery of the Good to the Customer or collection by the Customer or the Customer's nominated representative; and
  • is not liable to the Customer in respect of any information contained on its website or in any communications between the Customer and BorderlesShopping or any of its Personnel.

7.2. Customer Warranties

The Customer warrants to BorderlesShopping that:

  • the Customer has not breached any Law in engaging BorderlesShopping to provide any or all of the Services;
  • the Customer has undertaken such enquiries as are reasonably necessary to ensure that the Good is fit for purpose and capable of delivery to the address nominated by it;
  • the importation and possession of the Good in Bangladesh does not contravene any Law of Bangladesh;
  • all information provided by the Customer to BorderlesShopping is accurate, complete, and not misleading; and
  • the Customer has the legal capacity and authority to enter into this agreement.

7.3. Limitation of Liability

(a) To the maximum extent permitted by law, BorderlesShopping's liability to the Customer is limited to:

  • the amount of the Service Fee paid by the Customer; or
  • the cost of replacing the Good or acquiring equivalent goods,

whichever is less.

(b) BorderlesShopping will not be liable for any Consequential Loss.

(c) BorderlesShopping's liability is reduced proportionally to the extent that any act or omission of the Customer caused or contributed to the loss or damage.

8. Termination

8.1. Termination

This agreement terminates:

  • automatically following completion of the Services by BorderlesShopping; or
  • on cancellation of an Engagement Confirmation in accordance with the terms of this agreement.

8.2. Accrued Rights

Termination of this agreement does not affect any accrued rights or remedies of either party (if any).

9. Force Majeure

(a) Subject to clause 9(b), where Force Majeure prevents or delays either party from performing any obligation under this agreement, that obligation is suspended as long as the Force Majeure subsists.

(b) A party's failure to observe or comply with the terms of this agreement will not give rise to any Liability to the other party to the extent that the failure to observe or comply with those terms is attributable to Force Majeure.

(c) If any Force Majeure continues for a period of three months or more, either party may terminate this agreement immediately by giving written notice to the other party (without affecting the accrued rights and obligations of the parties).

10. Notices and Other Communications

10.1. Service of Notices

A notice, demand, consent, approval, invoice or communication under this agreement (Notice) must be sent by email to the recipient's email address or through the BorderlesShopping website or customer portal.

10.2. Effective on Receipt

A Notice given in accordance with clause 10.1 takes effect when received by the recipient. If delivery, receipt or transmission is not on a Business Day or is after 5:00pm on a Business Day, the Notice is taken to be received at 9:00am on the next Business Day.

11. General

11.1. Assignment

A party may only assign this agreement, or a right under this agreement, with the prior written consent of the other party.

11.2. Entire Agreement

This agreement constitutes the entire agreement between the parties in connection with its subject matter and supersedes all previous agreements, deeds or understandings between the parties in connection with its subject matter.

11.3. Severability

A term or part of a term of this agreement that is illegal or unenforceable may be severed from this agreement and the remaining terms or parts of the term of this agreement continue in full force.

11.4. Relationship

The parties agree and acknowledge that BorderlesShopping provides the Services as an independent contractor. Except where this agreement expressly states otherwise, it does not create a relationship of employment, trust, agency or partnership between the parties to this agreement.

11.5. Governing Law and Jurisdiction

This agreement is governed by, and to be interpreted in accordance with, the laws of Bangladesh, and each party irrevocably and unconditionally submits to the non-exclusive jurisdiction of the courts of Bangladesh.
